These Terms & Conditions establish the legal framework governing the relationship between Aayan SM India Pvt. Ltd. (“Aayan Infotech”), its clients, website visitors, business partners, vendors and users of its services. They explain the rules, rights, obligations and responsibilities applicable to the use of our website, software solutions, artificial intelligence services, mobile applications, enterprise software, cloud services, consulting services and all other products offered by the Company.
Our objective is to create transparency and build long-term trust by clearly defining how projects are initiated, delivered, supported and maintained. These Terms work alongside our Privacy Policy, Project Terms & Delivery Policy, Refund & Cancellation Policy and other published legal policies to create a consistent contractual framework.
By accessing our website, requesting quotations, approving proposals, signing agreements electronically, making payments or using any of our products or services, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

Aayan Infotech is an international technology company delivering AI solutions, enterprise software, custom software development, web development, mobile application development, SaaS platforms, cloud solutions, digital transformation and technology consulting for organisations across India, the USA, the UK, Europe, Australia and the GCC.
Our services include AI and AVIDIA-powered solutions, enterprise software development, website and e-commerce development, mobile application development, UI/UX design, API integrations, cloud consulting, DevOps, blockchain solutions, maintenance, support and digital transformation consulting.
Every engagement is governed by an approved quotation, Statement of Work (SOW), proposal or Master Services Agreement (MSA). Requests outside the agreed scope may require revised pricing and timelines.
Projects commence after the agreed advance payment has been received and project requirements are confirmed. Payments may be milestone-based, recurring or fixed-price depending on the approved proposal.
Accepted payment methods include International Wire Transfer, Local Bank Transfer, Credit/Debit Cards and Wise. Failure to make payment by the agreed due date may result in suspension of work, withholding of deliverables and temporary restriction of project access. Where no meaningful response is received within fifteen (15) days after repeated reminders, the project may be archived until commercial matters are resolved.
Upon receipt of full and final payment, ownership of custom-developed source code and agreed project deliverables transfers to the client unless otherwise stated in writing. Open-source components remain subject to their respective licences, while Aayan Infotech retains ownership of proprietary frameworks, reusable libraries, internal automation tools, development methodologies and AVIDIA technologies.
Both parties agree to protect confidential information exchanged during the engagement. Confidentiality obligations survive completion or termination of the project to the maximum extent permitted by applicable law. Mutual Non-Disclosure Agreements (NDAs) may be executed where required.
Certain services may utilise AVIDIA, Aayan Infotech’s proprietary AI platform. Clients control applicable data retention settings where supported. Client data is used for model improvement only where explicit consent has been provided. Enterprise customers may request projects that do not utilise AI-assisted development. AI-generated outputs should always be reviewed by qualified personnel before use in business-critical, legal, financial or regulatory decisions.
Users must not attempt unauthorised access, distribute malicious software, interfere with website security, misuse intellectual property or use our services for unlawful purposes.
Aayan Infotech follows recognised industry practices relating to secure software development, privacy, accessibility and responsible technology delivery. Where applicable, our operations are designed to align with GDPR, UK GDPR, CCPA/CPRA, India’s DPDP Act, UAE PDPL, Saudi PDPL and Australian Privacy Principles. Accessibility is developed with consideration for WCAG 2.1 AA guidance where commercially appropriate.
Project timelines begin after receipt of the signed agreement, advance payment, complete requirements and all necessary project assets. Delays caused by change requests, client approvals or third-party dependencies may extend delivery schedules.
Standard bug warranty is ninety (90) days unless otherwise agreed. Weekly backups are maintained where applicable during active engagements, while ongoing backup management is available under an Annual Maintenance Contract (AMC).
Before initiating court proceedings, both parties agree to first attempt good-faith negotiation followed by mediation or arbitration, except where mandatory law requires otherwise. These Terms are governed by the laws of India and subject to the jurisdiction of the competent courts of Lucknow, Uttar Pradesh.
